1. Definitions

  • "User," "You," "Your" refers to any individual or organization accessing our website or engaging our services
  • "We," "Us," "Our," "Company" refers to Synthra
  • "Agreement" refers to these Terms and Conditions along with any service-specific agreements
  • "Content" refers to all information, data, text, software, graphics, or other materials on our website
  • "Website" refers to the Synthra website and all associated pages

2. Acceptance of Terms

By accessing or using our website or engaging our consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy and Cookie Policy.

If you do not agree with any part of these terms, you must not use our website or services.

You represent that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are accepting these terms on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

3. Service Description

Synthra provides professional consulting services focused on AI implementation for organizations and educational institutions. Our services include but are not limited to:

  • AI Tool Selection Guidance
  • AI-Enhanced Curriculum Design
  • Organizational AI Adoption Programs
  • Strategic consulting on AI integration
  • Training and capability building

Services are provided subject to availability and may be modified, suspended, or discontinued at our discretion with appropriate notice to affected clients.

Specific service terms, deliverables, timelines, and pricing are defined in individual service agreements or statements of work executed with clients.

4. User Responsibilities

4.1 Acceptable Use

When using our website or services, you agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of any account credentials
  • Use our services only for lawful purposes
  • Respect intellectual property rights
  • Cooperate in good faith during service engagements

All content, materials, methodologies, and intellectual property associated with our services, including but not limited to text, graphics, logos, frameworks, and software, are owned by Synthra or our licensors and are protected by copyright, trademark, and other intellectual property laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our website and services for their intended purposes. This license does not include the right to reproduce, distribute, modify, or create derivative works from our content without explicit written permission.

5.3 Client Materials

You retain all rights to materials, data, and information you provide to us during service engagements. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering our services.

5.4 Work Product

Deliverables created specifically for you during service engagements become your property upon full payment, subject to our right to retain copies for our records and to use anonymized or aggregated insights for service improvement.

6. Payment Terms

6.1 Fees and Pricing

Fees for our services are specified in individual service agreements or proposals. Prices are quoted in Thai Baht (฿) and are subject to change with appropriate notice. All fees are exclusive of applicable taxes unless otherwise stated.

6.2 Payment Schedule

Payment terms are defined in service agreements and may include deposits, milestone payments, or payment upon completion. Invoices are typically due within 30 days of issuance unless otherwise specified.

6.3 Late Payment

Late payments may be subject to interest charges of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue balances.

6.4 Refund Policy

Refunds are evaluated on a case-by-case basis. Work completed or services delivered prior to termination are generally non-refundable. Specific refund terms may be outlined in individual service agreements.

7. Service Delivery and Client Obligations

7.1 Scope and Timeline

Service scope, deliverables, and timelines are defined in individual service agreements. We will make reasonable efforts to meet agreed timelines, but actual delivery may vary based on project complexity and client responsiveness.

7.2 Client Cooperation

Successful service delivery requires your timely cooperation, including providing necessary information, access to systems or personnel, and feedback on deliverables. Delays caused by lack of client cooperation may result in timeline extensions.

7.3 Changes to Scope

Changes to the agreed service scope must be documented and may result in adjustments to fees and timelines. We will provide estimates for scope changes before proceeding with additional work.

8. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during service engagements. This includes:

  • Business strategies, processes, and operational information
  • Technical data and methodologies
  • Financial information
  • Client lists and contact information
  • Any information marked as confidential

Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Upon request, we can execute separate non-disclosure agreements with additional confidentiality terms.

9. Disclaimers

9.1 Professional Advice Disclaimer

Our consulting services provide professional opinions and recommendations based on our expertise and analysis. However, we do not guarantee specific outcomes or results. Implementation decisions and their consequences remain your responsibility.

9.2 AI Technology Limitations

AI technologies have inherent limitations and capabilities that evolve over time. Our recommendations reflect current understanding of AI capabilities, but we cannot guarantee that recommended tools will continue to meet your needs as technology and your requirements change.

9.3 Third-Party Tools

When we recommend third-party AI tools or services, we do so based on our professional assessment. However, we are not responsible for the performance, availability, or policies of third-party providers.

9.4 Website Availability

Our website is provided "as is" without warranties of any kind. While we strive to maintain website availability, we do not guarantee uninterrupted access or error-free operation.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

Synthra's total liability arising from or related to our services, whether in contract, tort, or otherwise, shall not exceed the total fees paid by you for the specific services giving rise to the liability claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, even if we have been advised of the possibility of such damages.

This limitation of liability does not apply to damages resulting from our gross negligence, willful misconduct, or violations of applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Synthra, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of our services in violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of third-party rights
  • Information or materials you provide to us

12. Termination

12.1 Termination by Either Party

Either party may terminate a service engagement according to terms specified in the service agreement. Typical provisions include written notice periods and settlement of outstanding work and fees.

12.2 Termination for Breach

We may immediately terminate services if you materially breach these Terms or applicable service agreements, including failure to pay fees or violation of confidentiality obligations.

12.3 Effects of Termination

Upon termination, you must pay for all work completed and any expenses incurred through the termination date. Confidentiality obligations and intellectual property provisions survive termination.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Thailand, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Chiang Mai, Thailand.

13.3 Informal Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiations. Either party may initiate this process by providing written notice of the dispute to the other party.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any applicable service agreements, constitute the entire agreement between you and Synthra regarding our services.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any affiliate or successor entity.

14.5 Force Majeure

Neither party shall be liable for failure to perform obligations due to causes beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.

15. Changes to Terms

We may modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify active clients via email
  • Post notice of changes on our website

Changes become effective 30 days after notification unless you object in writing. Your continued use of our services after changes become effective constitutes acceptance of the updated Terms.

For changes to existing service agreements, we will seek your explicit consent to modified terms.
